1. Acceptance of Terms
By accessing and using the services provided by TecMinds GmbH, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, please do not use our services.
2. Services
TecMinds GmbH provides digital transformation consulting, AI-powered solutions, and custom software development services. The specific scope, deliverables, and terms for each project will be defined in separate project agreements or statements of work.
3. Intellectual Property
Unless otherwise agreed in writing, all intellectual property rights in deliverables created specifically for a client project will be transferred to the client upon full payment. TecMinds GmbH retains ownership of all pre-existing intellectual property, tools, frameworks, and methodologies.
4. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the business relationship. This obligation survives the termination of the agreement.
5. Payment Terms
Payment terms will be specified in individual project agreements. Unless otherwise stated, invoices are due within 30 days of the invoice date. Late payments may be subject to interest charges as permitted by law.
6. Limitation of Liability
To the fullest extent permitted by law, TecMinds GmbH shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the use of our services.
7. Termination
Either party may terminate the agreement as specified in the individual project agreement. Upon termination, the client shall pay for all services rendered up to the termination date.
8. Governing Law
These terms shall be governed by and construed in accordance with the laws of Switzerland. Any disputes shall be subject to the exclusive jurisdiction of the courts of Luzern, Switzerland.
9. Changes to Terms
We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services constitutes acceptance of the modified terms.
